No guarantees exist regarding the permanent availability of specific capabilities or functionality.

Fees and Commercial Terms

Navi is currently offered without any usage charges. CIOS Technology AG reserves the absolute right to introduce fees, paid subscription tiers, usage limits, rate restrictions, or other commercial terms at any time without prior notice. No service level agreements (SLAs), uptime guarantees, or performance commitments exist unless explicitly documented in a separate written agreement executed by both parties.

Nature of the Service – Human Responsibility

Navi provides informational and decision-support assistance only and must not be construed as offering professional advice in legal, financial, compliance, healthcare, or any other specialized domain. All outputs from Navi remain non-binding and informational in nature. Users retain sole responsibility for validating all information, conducting independent due diligence, and making final decisions. CIOS Technology AG makes no representations regarding the accuracy, completeness, or applicability of any content provided through Navi.

Acceptable Use

Navi is authorized exclusively for personal and internal organizational exploration. The following uses are strictly prohibited:

  • Commercial deployment, resale, or repurposing without prior written permission from CIOS;
  • Unauthorized access attempts, including hacking, credential stuffing, or account compromise;
  • Reverse-engineering, decompiling, or attempting to extract system architecture or proprietary methodology;
  • Scraping, automated bulk extraction, or systematic collection of platform content;
  • Processing, uploading, or accessing unlawful, defamatory, infringing, or harmful content;
  • Circumventing security measures, rate limits, or access controls.

CIOS Technology AG reserves the right to suspend or terminate access immediately upon detecting or suspecting any violation of these terms.

User Inputs

Users bear full responsibility for all content submitted to Navi, including but not limited to queries, documents, feedback, and data. Users warrant that they possess all necessary rights, permissions, and licenses to submit such content and that the submission does not infringe third-party intellectual property, privacy, or other legal rights. Users agree to indemnify, defend, and hold harmless CIOS Technology AG from any claims, damages, liabilities, or expenses arising from unlawful, infringing, or unauthorized user submissions.

Confidentiality

Users accessing non-public information, proprietary materials, or confidential content through Navi agree to treat such information as confidential and to comply with applicable confidentiality obligations. This obligation does not apply to information that is publicly available, lawfully obtained from third parties without confidentiality restrictions, or independently developed without reference to Navi.

Intellectual Property

All intellectual property rights relating to Navi, including but not limited to the platform architecture, user interface, features, content curation methodology, and underlying CIOS Technology systems, remain the exclusive property of CIOS Technology AG. No intellectual property, technology rights, licenses, or ownership interests transfer to users. Users receive only a limited, non-exclusive, revocable license to access Navi for authorized personal or internal organizational purposes.

Platform Knowledge and System Learnings

CIOS Technology AG retains full ownership of aggregated Platform Knowledge derived from platform operations, including anonymized patterns, system performance data, and aggregated insights. This ownership explicitly excludes user-submitted content, personal data, and any user-identifiable information. Platform Knowledge ownership is strictly limited to anonymized, system-level patterns that cannot be traced to or identify any individual user.

External Infrastructure and Service Providers

Navi operations depend on external service providers for computing infrastructure, data storage, security services, and other critical functions. User data may be processed by these third-party providers for the sole purpose of delivering platform functionality. Such processing is governed by contractual safeguards aligned with Swiss data-protection standards and applicable law. Processing activities may occur internationally and across multiple jurisdictions. Users acknowledge and accept this necessary reliance on external infrastructure.

Limitation of Liability

To the fullest extent permitted by Swiss law, CIOS Technology AG excludes all liability for indirect damages, including but not limited to loss of profit, loss of data, loss of business opportunity, business interruption, reputational harm, or consequential damages, regardless of the form of legal action or whether CIOS was advised of the possibility of such damages. Liability shall apply only in cases of intentional misconduct or gross negligence on the part of CIOS Technology AG. This limitation applies notwithstanding any other provision in these Terms.

Changes and Discontinuation

CIOS Technology AG retains unilateral authority to modify, suspend, or discontinue Navi or any part thereof at any time, with or without advance notice. Changes may include modifications to features, functionality, pricing, supported regions, content availability, or any other aspect of service delivery. Continued use of Navi following any modification constitutes acceptance of the modified terms.

Eligibility and Compliance

Users must possess full legal capacity to enter into these terms. Users must comply with all applicable laws and regulations of their jurisdiction, including but not limited to sanctions regulations, trade restrictions, and export control laws. Users may not use Navi in violation of any applicable legal framework or in jurisdictions where doing so would constitute a legal violation.

Governing Law

These Terms of Use are governed exclusively by the laws of Switzerland, without regard to conflict-of-law principles. All disputes arising from or relating to these terms, Navi, or the relationship between the user and CIOS Technology AG shall be subject to the exclusive jurisdiction of the courts and authorities of Switzerland.
